TEMPO.CO, Jakarta – Indonesian energy distributor SEFAS Group has agreed to acquire 100 percent of Shell’s fuel station business in Indonesia, as the global oil major moves toward transferring ownership of its retail network to a local company.

The transaction remains subject to regulatory approval and other customary closing conditions, with completion expected later this year.

SEFAS Group CEO Ricky Roesli said the acquisition would mark the company’s next step in Indonesia’s energy retail market.

“As Shell’s largest lubricant distributor in Indonesia, SEFAS is proud to take this next business step and support the future growth of Indonesia’s energy retail sector,” Ricky said in a statement issued in Jakarta on Wednesday, August 19, as quoted by Antara.

SEFAS will proceed with the process of acquiring full ownership of the business, Ricky said.

The company’s immediate priority will be to ensure a smooth transition while maintaining safe and reliable operations, he added.

Shell Brand to Remain

Despite the change in ownership, motorists in Indonesia will continue to see the Shell brand at the fuel stations.

Shell’s brand will remain in use under a licensing arrangement, allowing the stations to continue serving customers while maintaining continuity for employees and business partners.

“Local ownership provides a strong foundation for the next phase of the business. Our ambition is to build one of Indonesia’s most trusted and sustainable energy retail businesses, while supporting the country’s economic growth and evolving energy needs,” Ricky said.

The acquisition would give SEFAS full ownership of Shell’s Indonesian fuel station business while allowing the established Shell brand to remain visible through the licensing arrangement.

Shell Indonesia President Director Andri Pratiwa said SEFAS was a long-standing Shell partner in Indonesia with extensive knowledge of the local market.

“SEFAS has a deep understanding of the local market, customer needs, as well as a well-established network to support the next phase of the business’s growth,” Andri said.

The deal comes as Indonesia’s fuel retail market continues to evolve, with local ownership potentially reshaping the competitive landscape while Shell’s brand remains in the market through the licensing agreement.
